Wildcat Terms and Conditions
GENERAL
These Terms govern agreements between a Partnered Designer (hereafter “Designer”) and 3dsly (together, “Parties”), under which the Designer agrees to create and deliver a Product in exchange for a pre-agreed fee. By accessing the Partnered Designer section of the Site, the Designer accepts and agrees to these Terms.
These Terms operate in conjunction with the General Terms and Conditions. They do not apply to the general marketplace sale of 3D models or to Buyer-initiated 3D Projects.
Any terms not defined here have the meaning assigned in the Definitions section of the General Terms and Conditions, or as specified elsewhere on the Site.
This document, together with the General Terms and Conditions, is binding in its entirety on both Parties. Amendments or modifications shall only take effect if explicitly provided for in these Terms.
These Wildcat Terms apply to all past, current, and future Wildcat assignments once communicated to Designers. If a Designer disagrees, they must immediately withdraw from the program by notifying 3dsly in writing (e.g., by email). Continuing participation without objection constitutes full acceptance of these Terms.
SERVICE CONTRACTS FOR WILDCAT PROJECTS
A Contract for a Wildcat assignment is considered a service agreement. The Designer undertakes to complete the assignment, and 3dsly undertakes to pay the agreed fee.
The Contract does not create a partnership, joint venture, or employer–employee relationship. The Designer is not an agent of 3dsly and cannot bind 3dsly to any agreements. The Designer is responsible for selecting their own methods, tools, and equipment, and for covering all related costs.
BECOMING A PARTNERED DESIGNER
Designers may join the Partner Program by signing in to the Wildcat section with their 3dsly Member account. Only one account may be used; multiple accounts are prohibited.
Upon logging in, the Designer will automatically receive their first assignment, visible in the Wildcat Dashboard.
To qualify as a Partnered Designer and apply for paid assignments, the Designer must complete this first task according to the technical, quality, and timing requirements specified in the Brief. 3dsly may, at its discretion, pay for the first assignment if it meets standards, with the fee amount defined by 3dsly.
Typically, one review round is conducted for the first assignment, though 3dsly may request corrections and additional reviews. 3dsly alone determines whether a Designer qualifies as a Partnered Designer.
WILDCAT PROJECT REQUESTS
Once qualified, Designers can view available Requests in the Wildcat area.
Designers should only accept a Request if they have the necessary time, resources, and expertise to meet all technical and quality requirements.
When accepted, the Request becomes an “Assignment” and is listed in the Designer’s Dashboard.
A Contract for a Wildcat Assignment is formed when the Designer accepts a Request.
TECHNICAL AND QUALITY REQUIREMENTS
Products must meet all requirements specified in the Brief, as well as any guides, standards, or files referenced or attached to the Request.
Additional requirements may also be agreed via Site messages or other communication channels.
If any requirement is unclear, the Designer must promptly seek clarification from 3dsly.
3dsly will provide answers, guidance, and may share technical support or resources (e.g., knowledgebase) to help the Designer complete the Assignment.
If 3dsly provides its own materials (such as images or prior 3D models), it grants the Designer a limited, revocable, non-transferable, non-exclusive license to use them solely for completing the Assignment. Upon completion or at 3dsly’s request, these materials must be destroyed.
REVIEW AND ACCEPTANCE
After completing an Assignment, the Designer must submit the Product and related files for review through the Wildcat system before the deadline.
3dsly will review and respond regarding compliance and quality.
If the Product does not meet requirements, 3dsly may request revisions.
Generally, 2–3 review rounds occur, though 3dsly decides the number at its discretion.
3dsly may approve, reject, or approve with reduced payment based on the Product’s quality and conformity. Rejected Products are not eligible for payment.
INTELLECTUAL PROPERTY
All intellectual property rights in materials uploaded to the Wildcat system transfer exclusively and irrevocably to 3dsly, worldwide, for the full legal term of protection. 3dsly may use, license, or transfer these rights without restriction.
Designers retain no rights in uploaded materials and may not use them for any purpose.
Designers warrant that their work is original and free of third-party claims. If third-party material is included, the Designer must disclose this. Designers agree to indemnify 3dsly against any resulting claims or damages.
Designers consent that 3dsly may choose whether or how to credit them as authors, may modify submitted materials, and may waive or require waiver of moral rights where legally permitted.
FEES AND PAYMENT
The fee for each Request is specified in the Brief. Accepting the Request confirms agreement to the stated fee.
3dsly may reduce the fee proportionally if the Product does not fully meet requirements.
Late submissions may also result in reduced fees.
Rejected Products receive no payment.
Accepted fees are summarized in monthly reports provided to Designers.
Fees are paid according to the timelines specified in the General Terms.
Payments are subject to applicable taxes and deductions as required by law.
TERM AND TERMINATION
These Terms apply once a Designer accesses the Wildcat area and remain valid as long as 3dsly provides Wildcat services, or until terminated under the General Terms.
3dsly may terminate any Assignment at any time, removing it from the Designer’s account.
CONFIDENTIALITY
If 3dsly shares confidential information marked as such (or clearly confidential by nature), the Designer must protect it with reasonable care and not disclose or misuse it. Confidential information may only be used to fulfill the Contract.
Information shared publicly in project descriptions or comments is not considered confidential.
Upon completion of an Assignment or at 3dsly’s request, Designers must return or destroy all confidential information.
NO WARRANTY / LIMITATION OF LIABILITY
The disclaimers and liability limits set out in the General Terms apply fully to the Wildcat platform.
GOVERNING LAW AND DISPUTES
The governing law and jurisdiction specified in the General Terms also apply to these Terms.
